Terms of Service

These Terms of Service govern the engagement of SRPDC (“SRPDC,” “we,” or “us”) by clients (“you” or “client”) for web development, IT infrastructure, managed hosting, and platform maintenance services. By engaging SRPDC, requesting a proposal, or using services provided by SRPDC, you agree to these Terms.

1. Description of Services

SRPDC provides custom web development, IT infrastructure and support, managed hosting, and platform maintenance services to businesses in the Rio Grande Valley and surrounding areas. Services are provided on a project basis, hourly rate, or monthly retainer as agreed in writing between SRPDC and the client. Nothing in these Terms constitutes a guarantee of specific outcomes, uptime beyond what is stated in a signed Managed Hosting Service Agreement, or results from web development or IT work.

2. Eligibility

To engage SRPDC services you must be at least 18 years of age, have the legal authority to bind yourself or your organization to these Terms, and be located in or seeking services for a business operating in the United States.

3. Engagements and Agreements

All work performed by SRPDC is governed by a written agreement, statement of work, or invoice accepted by the client. No work begins until scope, deliverables, and pricing have been agreed in writing. Change requests outside the original scope require a written change order before work begins.

4. Payment Terms

Invoices are due within 30 days of the invoice date unless otherwise stated in a project agreement. Late payments are subject to a 1.5% monthly late fee. Work may be paused or hosting services suspended on accounts more than 15 days past due with written notice. Disputed invoices must be raised in writing within 7 days of receipt.

5. Hosting Services

Managed hosting services are governed by a separate Managed Hosting Service Agreement signed at the start of the hosting engagement. That agreement defines uptime SLAs, backup policies, support response times, and termination terms. In the event of conflict between these Terms and a signed Hosting Agreement, the Hosting Agreement controls for hosting matters.

6. Intellectual Property

Upon receipt of full payment for a completed project, the client owns the deliverables — including source code, design assets, and content — produced specifically for that engagement. SRPDC retains ownership of all general tools, frameworks, server configurations, deployment scripts, and reusable components developed by SRPDC that are not specific to the client’s project. Nothing in these Terms transfers ownership of third-party software, open source libraries, or tools licensed separately.

7. Confidentiality

SRPDC will not disclose client business information, technical details, or data to third parties except as required to deliver the services (for example, cloud infrastructure providers) or as required by law. Clients agree not to disclose SRPDC’s pricing, internal processes, or proprietary tooling to competitors.

8. Limitation of Liability

SRPDC’s total liability for any claim arising from services provided shall not exceed the total fees paid by the client to SRPDC in the three months preceding the event giving rise to the claim. SRPDC is not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost data, or business interruption. SRPDC is not liable for outages, data loss, or failures caused by third-party infrastructure providers (DigitalOcean, Google, Stripe, etc.), client-owned code or systems, or events outside SRPDC’s reasonable control.

9. Warranties

SRPDC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. SRPDC does not warrant that software will be error-free, that hosting will be uninterrupted beyond stated SLAs, or that any particular business outcome will result from the services.

10. Acceptable Use (Hosting Clients)

Clients using SRPDC managed hosting agree not to use hosted services for spam, illegal activity, cryptocurrency mining, malware distribution, or any activity that violates applicable law or disrupts other users. Violation may result in immediate suspension without refund.

11. Termination

Either party may terminate a month-to-month engagement with 30 days written notice. Project engagements may be terminated by the client before completion; the client remains responsible for payment for all work completed to the termination date. SRPDC may terminate immediately for non-payment, material breach, or violation of acceptable use terms.

12. Governing Law

These Terms are governed by the laws of the State of Texas without regard to conflict-of-laws principles. Disputes shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration in Harlingen, Texas under the rules of the American Arbitration Association.

13. Changes to These Terms

SRPDC may update these Terms from time to time. The Last Updated date above will reflect changes. Continued engagement of SRPDC services after updated Terms are posted constitutes acceptance.
